Terms & conditions

of the online shop operated by GOSPACE LABS s. r. o. — Version 2.1, [effective date]

These General Terms and Conditions (the "Terms") govern all contracts concluded between GOSPACE LABS s. r. o. (the "Seller" or "we") and its customers (the "Customer" or "you") through the online shop available at [e-shop URL] (the "Shop"), concerning the sale of IoT sensors, monitoring devices, accessories and related digital content and services, with delivery available worldwide.

The following documents form part of these Terms: the Shipping Terms and Conditions, the Payment Terms, and the Returns and Complaints Policy. The Privacy and Cookie Policy describes how we process personal data. Where any of those documents conflicts with these Terms, these Terms prevail.

Part I — Standard Business Terms

§ 1 Basic Provisions and Definitions

1. The Seller is GOSPACE LABS s. r. o., with its registered seat at Ilkovičova 8, 841 04 Bratislava, Slovak Republic, Company ID (IČO): 46 939 849, Tax ID (DIČ): 2023741489, VAT ID (IČ DPH): SK2023741489, registered in the Commercial Register of the Municipal Court Bratislava III, Section: Sro, Insert No.: 89077/B.

2. Contact points. General enquiries and orders: info@gospace.tech, telephone +421 233 014 295. Withdrawal from the contract and returns: returns@gospace.tech. Complaints about defects: reklamacie@gospace.tech. Paid repairs outside statutory liability: service@gospace.tech. Personal data: privacy@gospace.tech. Postal address for all of the above, and the address for returning goods unless we notify a different one: [return address]. We answer on business days [09:00–17:00 CET].

3. These Terms apply to all contracts for the delivery of goods (in particular IoT environmental and monitoring sensors and accessories), digital content and digital services concluded via the Shop, as well as to individual offers (quotations) issued by the Seller in text form.

4. A "Consumer" is a natural person who, in connection with a contract concluded under these Terms, does not act within the scope of their business, employment or profession (Section 2(a) of Act No. 108/2024 Coll. on Consumer Protection, and Section 52(4) of the Slovak Civil Code).

5. A "Business Customer" is a person who acts within the scope of their business or profession, including legal entities and public bodies. Provisions of these Terms granting rights specifically to Consumers (in particular the right of withdrawal in § 8 and the consumer rules in § 10) do not apply to Business Customers.

6. Deviating or supplementary terms of the Customer do not become part of the contract unless the Seller expressly agrees to them in writing. Individual agreements made with the Customer in text form take precedence over these Terms.

§ 2 Conclusion of the Contract

1. The presentation of products in the Shop constitutes a binding offer by the Seller only where expressly stated; otherwise it is an invitation to the Customer to place an order.

2. The Customer places products in the shopping cart and completes the order through the checkout. Before submitting the order, the Customer can review and correct all entered data on the order summary page. By clicking the order button confirming an obligation to pay, the Customer submits a binding offer to conclude a purchase contract.

3. The contract is concluded when the Seller accepts the order by sending an order confirmation by e-mail or by dispatching the goods, whichever occurs first. An automatic acknowledgement of receipt of the order does not by itself constitute acceptance.

4. Where the Customer uses an online payment method, the Customer may be redirected to the website of the payment service provider to complete the payment. The payment methods offered are set out in the Payment Terms.

5. Offers (quotations) issued by the Seller in text form outside the Shop are valid for five (5) working days from receipt unless a different validity period is stated in the offer. The contract is concluded upon the Customer's acceptance within that period.

6. Order processing and communication take place primarily by e-mail. The Customer must provide a correct e-mail address and ensure that messages from the Seller are not blocked by SPAM filters.

7. The Customer may create a customer account in the Shop. The Customer must keep access credentials confidential and is responsible for orders placed through their account until the Seller is notified of any misuse. The account contains the Customer's order history, invoices, the withdrawal and complaint forms and the status of any return.

8. The Seller may decline an order for objective reasons (e.g. unavailability of the goods, delivery restrictions to the destination, suspicion of fraud, or an obvious error in the displayed price caused by a technical fault). If the price stated in the Shop is manifestly incorrect and the error was recognisable, the Seller may rescind a contract concluded on the basis of that error; any payments already made will be refunded without undue delay.

§ 3 Digital Content, Licences, Conformity and Updates

1. Firmware, software, cloud platforms, mobile or web applications and other digital content supplied with or in connection with the goods are protected by copyright.

2. The Customer receives a non-exclusive, non-transferable licence to use the digital content to the extent necessary for the intended use of the goods, unless a broader scope is stated in the respective offer or in separate licence terms of the Seller or a third-party licensor. Third-party components may be subject to the licence terms of the respective licensor.

3. For Consumers, the supply of digital content and digital services is governed by the applicable provisions of the Slovak Civil Code implementing Directive (EU) 2019/770. Information on the functionality, compatibility and interoperability of digital content and digital services (including required network connectivity) is provided in the respective product description in the Shop.

4. The Seller processes measurement and telemetry data transmitted by the devices to the extent necessary to provide the contracted services (e.g. data transmission, visualisation, alerting). The Customer retains rights to its measurement data; the Seller may use anonymised and aggregated data for the improvement and development of its products and services.

5. Conformity and updates. For Consumers, digital content and digital services must conform to the contract at the time of supply and, where they are supplied continuously, throughout the period of supply. The Seller shall provide the updates, including security updates, necessary to keep the digital content or digital service in conformity for the duration of the contract or, for a single act of supply, for the period the Consumer may reasonably expect, and shall inform the Consumer of such updates. Where the Consumer fails to install an update made available by the Seller within a reasonable time, the Seller is not liable for a lack of conformity resulting solely from that failure, provided the Consumer was informed of the update and of the consequences of not installing it. The support period for each product is stated in the respective product description [support-period reference].

6. Remedies for lack of conformity. Where digital content or a digital service does not conform, the Consumer may require it to be brought into conformity free of charge within a reasonable time; if that is impossible or disproportionate, or if the Seller fails or refuses, or the lack of conformity is serious or recurring, the Consumer may claim a proportionate reduction of the price for the period during which it did not conform, or terminate the contract. Maintenance announced in advance, and interruptions attributable to third-party networks or to the Customer's own infrastructure, do not constitute a lack of conformity, nor does a temporary interruption that does not materially affect the agreed functionality.

7. Interface access. Where the Seller provides access to an application programming interface, that access is additionally governed by the API Terms of Use published at [URL], which regulate keys, permitted use, rate limits, versioning and deprecation, availability, security duties and suspension.

§ 4 Subscription Contracts (Connectivity, Data and Platform Services)

1. Where the Seller offers services on a subscription basis (e.g. connectivity plans, data plans, access to the monitoring platform), the initial fixed term is stated in the respective offer and does not exceed twenty-four (24) months. The duration, any renewal and the notice period are disclosed before the order is placed.

2. Unless terminated in text form no later than one (1) month before the end of the fixed term (or any shorter period stated in the offer), the subscription continues for an indefinite period and may then be terminated by either party with one (1) month's notice.

3. The right of either party to terminate for good cause without notice remains unaffected. Termination requires text form (e.g. e-mail) or, where available, the cancellation function in the Customer's account.

4. Connectivity-based services depend on third-party mobile or LPWAN networks (e.g. LoRaWAN, NB-IoT, LTE-M) and on conditions at the installation site. The Seller does not guarantee network coverage, uninterrupted transmission or availability of third-party networks at the Customer's location; the Customer is responsible for verifying coverage before purchase. This does not limit the statutory rights of Consumers regarding conformity of digital services.

5. Refunds on termination. On termination of a subscription for a lack of conformity under § 3(6), the Seller refunds the proportionate part of any prepaid price corresponding to the period not supplied. On termination for convenience, prepaid amounts for the remainder of the agreed term are refunded only where the offer or the order confirmation so provides. Refunds are made in accordance with § 11 of the Payment Terms.

6. Data on termination. On termination the Seller keeps the Customer's account data and measurement data available for export in a commonly used machine-readable format for thirty (30) days, after which they are deleted or anonymised in accordance with the Privacy and Cookie Policy, save where retention is required by law. Measurement data generated by the Customer's devices remain the Customer's; the Seller does not condition their release on the settlement of payment disputes. Interface keys are deactivated on termination; the Seller gives at least thirty (30) days' notice before deprecating an interface version.

§ 5 Prices and Payment

1. Prices in the Shop are stated in EUR. For Consumers within the European Union, prices include the applicable Slovak or destination-country VAT as indicated at checkout. Shipping costs are not included in the product price and are shown separately during the ordering process before the order is submitted. Where a price reduction is announced, the prior price displayed is the lowest price applied in the thirty (30) days before the reduction.

2. For deliveries to destinations outside the European Union, prices may be shown exclusive of VAT (export supplies). Import duties, import VAT, customs clearance fees, brokerage fees, bank transfer charges and any other charges levied in the destination country are not included in the price and shall be borne by the Customer, unless expressly agreed otherwise (see § 6).

3. For Business Customers within the EU with a valid VAT identification number, supplies may be invoiced without Slovak VAT under the reverse-charge / intra-Community supply rules, subject to the provision of a valid VAT ID and proof of transport.

4. The Seller offers online payment via Stripe and, for public authorities, public institutions and registered companies, payment by invoice. Details, conditions and maturity are set out in the Payment Terms, which form part of these Terms. Cash and cheques are not accepted. Unless otherwise agreed, payment claims are due immediately upon conclusion of the contract.

5. The Seller may make dispatch of the goods conditional upon receipt of full payment (prepayment), in particular for deliveries outside the European Union or for custom-configured goods.

6. All payments are made in EUR unless another currency is expressly offered at checkout. Currency conversion costs and fees charged by the Customer's bank or card issuer are borne by the Customer, as set out in § 2 of the Payment Terms.

§ 6 Delivery, Worldwide Shipping and Passing of Risk

1. The Seller ships worldwide. Available delivery destinations, carriers, shipping costs and estimated dispatch times are set out in the Shipping Terms and Conditions, in the Shop or in the offer. Delivery dates are approximate unless expressly agreed as binding.

2. Unless a different delivery time has been agreed, the Seller shall deliver the goods to a Consumer no later than thirty (30) days from the conclusion of the contract. If the Seller fails to deliver within this period, the Consumer may request delivery within a reasonable additional period and, if the goods are still not delivered, may withdraw from the contract; where the agreed delivery time was essential, or the Consumer informed the Seller before conclusion of the contract that delivery by a specified date was essential, the Consumer may withdraw immediately.

3. For deliveries outside the European Union, the Customer is the importer of record unless agreed otherwise. The Customer is responsible for compliance with the import regulations of the destination country, for obtaining any import licences or permits, and for paying all duties, taxes and fees connected with the import. If a shipment is refused, returned or destroyed because of the Customer's failure to comply with import requirements or to pay import charges, the Customer bears the resulting costs.

4. For Consumers, the risk of accidental loss of or damage to the goods passes to the Consumer upon delivery of the goods to the Consumer or to a person designated by the Consumer other than the carrier. Where the Consumer independently commissions a carrier not offered by the Seller, risk passes upon handover to that carrier.

5. For Business Customers, delivery is made at the Business Customer's risk; risk passes upon handover of the goods to the first carrier. Unless otherwise agreed, deliveries to Business Customers outside the EU are made FCA (Incoterms 2020) Seller's premises or DAP (Incoterms 2020) destination, as stated in the offer or checkout.

6. The Seller is entitled to make partial deliveries to a reasonable extent, provided this does not cause additional shipping costs for the Customer without their consent.

7. If the goods cannot be delivered for reasons attributable to the Customer (e.g. incorrect address, refusal of acceptance, failure to clear customs), the Seller may charge the Customer the reasonable costs incurred. Refusal to accept a shipment or failure to collect it does not constitute withdrawal from the contract. Where a shipment returns to the Seller as undeliverable or uncollected and the Customer has not withdrawn, the Seller invites instructions; on request the goods are re-dispatched against payment of a further delivery charge. Absent instructions within thirty (30) days the contract terminates by agreement and the Seller refunds the price of the goods, less the delivery charge already incurred and any carrier charge for the return leg.

8. Certain goods contain lithium batteries and are subject to dangerous-goods transport regulations (IATA/ADR). The Seller may therefore restrict the choice of carrier or shipping method for particular destinations, split shipments, or ship batteries installed in equipment only. Any such restrictions will be indicated at checkout or communicated before dispatch.

§ 7 Regulatory Compliance, Radio Spectrum and Export Control

1. The goods are wireless IoT devices designed and certified primarily for operation in the European Union (in particular under the Radio Equipment Directive 2014/53/EU, CE marking). Radio frequency bands, permitted transmission power and certification requirements (e.g. for LoRaWAN, NB-IoT, LTE-M or GSM devices) differ between countries.

2. The Customer is solely responsible for verifying, before ordering, that the operation of the goods is lawful in the intended country of use and for obtaining any local type approvals, certifications or licences required for their operation. Upon request, the Seller will provide available technical documentation and declarations of conformity.

3. All deliveries are subject to applicable export control and sanctions laws of the Slovak Republic, the European Union and, where applicable, the United States. The Seller may refuse, suspend or cancel an order, without liability, where the delivery would violate such laws or where required licences are not granted. The Customer undertakes not to re-export or divert the goods in violation of applicable export control and sanctions laws.

§ 8 Right of Withdrawal for Consumers

1. A Consumer has the right to withdraw from a contract concluded at a distance without giving any reason within fourteen (14) days. The period expires: (a) for a purchase of goods, 14 days after the day on which the Consumer or a third party designated by the Consumer, other than the carrier, takes over the goods; (b) where goods ordered in one order are delivered separately, 14 days after the day of taking over the last of them; (c) where goods are delivered in several parts or pieces, 14 days after the day of taking over the last part or piece; (d) for a contract for the regular repeated supply of goods over a defined period, 14 days after the day of taking over the first goods delivered; (e) for contracts for services, digital services or digital content not supplied on a tangible medium, 14 days after the day of conclusion of the contract.

2. A Consumer may also withdraw before the goods are delivered, including immediately after placing the order.

3. Where the Seller has not provided the Consumer with the information on the right of withdrawal, the withdrawal period is extended by twelve (12) months from the expiry of the original period. If the Seller provides that information within the extended period, the withdrawal period expires 14 days after the day on which the information is provided (§ 20(3) of Act No. 108/2024 Coll.).

4. To exercise the right of withdrawal, the Consumer must inform the Seller of the decision to withdraw by an unequivocal statement (e.g. by e-mail to returns@gospace.tech, by post to the address in § 1(2), or by submitting the withdrawal form in the customer account). The Consumer may use the model withdrawal form annexed to these Terms, but is not obliged to do so. To meet the deadline it is sufficient to send the notice of withdrawal before the withdrawal period has expired.

5. Reimbursement and the cheapest ordinary delivery method. If the Consumer withdraws, the Seller reimburses all payments received from the Consumer, including the costs of delivering the goods to the Consumer up to the amount of the cheapest ordinary delivery method offered by the Seller for the destination concerned. The cheapest ordinary delivery method offered by the Seller is standard courier delivery at the applicable zone fee set out in the Shipping Terms and Conditions. Accordingly, where the Consumer chooses express delivery or any other faster or more expensive option, the difference between the charge for that option and the standard zone fee is an additional cost chosen by the Consumer and is not reimbursed. Surcharges that are not delivery charges are reimbursed in full where the Consumer withdraws from the entire order. Reimbursement is made without undue delay and no later than 14 days from the day of notification of the withdrawal, using the same means of payment as the Consumer used for the original transaction unless the Consumer expressly agrees otherwise, and without any fee, in accordance with § 11 of the Payment Terms. The Seller may withhold reimbursement until it has received the goods back or the Consumer has supplied proof of having sent them back, whichever is earlier, unless the Seller offers to collect the goods itself.

6. Return of the goods and return costs. The Consumer shall send back the goods without undue delay and no later than 14 days from the day of the withdrawal. The Consumer bears the direct costs of returning the goods, including the cost of returning goods which by their nature cannot be returned by ordinary post, and including, for deliveries outside the European Union, the cost and formalities of return shipment and re-import. Estimated amounts per destination zone are stated in the Returns and Complaints Policy and, for the goods concerned, on the product page before the order is placed. The Seller does not provide a free return label; where the Consumer asks the Seller to arrange collection, the Seller may do so and set the actual carrier charge off against the reimbursement, subject to the Consumer's prior agreement to the amount.

7. Reduction in value. The Consumer is liable only for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods. The Returns and Complaints Policy sets out, for the Seller's products, what handling is within and beyond that standard. Where the Seller asserts a reduction in value, it notifies the Consumer in writing of the findings, the evidence and the calculation, and sets the amount off against the reimbursement. At the Consumer's request made within fourteen (14) days, the Seller instead returns the goods to the Consumer at the Consumer's cost.

8. The right of withdrawal does not apply, in particular, to: (a) goods made to the Consumer's specifications or clearly personalised (e.g. custom-configured or custom-calibrated sensors, custom cable lengths, bespoke brackets, pre-provisioned network or server settings), which are identified as such before the order is placed; (b) sealed goods which are not suitable for return for health or hygiene reasons once unsealed; (c) the supply of digital content not supplied on a tangible medium, where performance has begun with the Consumer's express prior consent and acknowledgement of the loss of the right of withdrawal, and where the Seller has confirmed that consent and acknowledgement to the Consumer on a durable medium; (d) services fully performed with the Consumer's express prior consent and such acknowledgement; (e) goods which are perishable or which were inseparably mixed with other items after delivery.

9. If the Consumer requested that the provision of services (e.g. a connectivity or platform subscription) begin during the withdrawal period and then withdraws, the Consumer shall pay the Seller an amount proportionate to the services provided until the notification of withdrawal.

10. Partial withdrawal. Withdrawal may relate to part of an order. Where partial withdrawal causes the order to fall below a quantity-discount, bundle or free-shipping threshold applied at the time of ordering, the retained goods are re-priced at the applicable list price and the difference is set off against the reimbursement; the Seller notifies the Consumer of the recalculation.

11. The statutory right of withdrawal under this § 8 is granted to Consumers as required by Act No. 108/2024 Coll. and Directive 2011/83/EU. For Consumers ordering from outside the European Union, the Seller grants the same 14-day right of withdrawal voluntarily, as a contractual concession, on the terms set out in § 3.8 of the Returns and Complaints Policy — in particular the Consumer bears the cost and the export and customs formalities of the return, and import duties, taxes, clearance and brokerage fees paid on the original import are not reimbursed by the Seller. Mandatory local law prevails where it provides otherwise.

12. Refusal to accept a shipment or failure to collect it is not a withdrawal; § 6(7) applies.

§ 9 Right of Retention, Retention of Title

1. The Customer may exercise a right of retention only where it concerns claims arising from the same contractual relationship.

2. The goods remain the property of the Seller until the purchase price has been paid in full.

3. For Business Customers the following additionally applies: (a) the Seller retains title to the goods until all claims from the ongoing business relationship have been settled in full; (b) prior to the transfer of title, the goods may not be pledged or assigned as security; (c) the Business Customer may resell the goods in the ordinary course of business and hereby assigns to the Seller in advance all claims arising from such resale in the amount of the invoice value; the Seller accepts the assignment and the Business Customer remains authorised to collect the claims as long as it meets its payment obligations; (d) if the goods are combined or mixed with other items, the Seller acquires co-ownership of the new item in the ratio of the invoice value of the goods to the other items; (e) at the Customer's request, the Seller shall release securities to the extent that their realisable value exceeds the secured claims by more than 10%; the choice of the securities to be released rests with the Seller.

§ 10 Liability for Defects and Complaints

1. Procedure. The procedure for making and settling a complaint, the required documentation, the deadlines in practice and the allocation of costs are set out in the Returns and Complaints Policy, which forms part of these Terms and is published at [URL]. Where the Policy conflicts with these Terms, these Terms prevail.

2. Liability period. For Consumers, the Seller is liable for defects of the goods in accordance with the Slovak Civil Code (Act No. 40/1964 Coll., as amended, implementing Directive (EU) 2019/771). The Seller is liable for any defect that exists at the time of delivery and becomes apparent within two (2) years of delivery. A defect that becomes apparent within twelve (12) months of delivery is presumed to have existed at delivery, unless the contrary is proven or the presumption is incompatible with the nature of the goods or defect. For used goods the period under this paragraph is twelve (12) months, which is stated on the product page and on the invoice. A defect of used goods arising from use and from normal wear reasonably expectable in view of the extent of their previous use is not a defect (§ 618(2) of the Civil Code). Goods sold as used, demonstration or refurbished are identified as such, together with the specific characteristics on account of which the price was reduced.

3. Instruction before the defect is remedied. Before remedying a defect the Seller informs the Consumer, demonstrably and on a durable medium, of the right to choose between repair and replacement of the goods and of the extension of the period of liability for defects by twelve (12) months if repair is chosen (§ 623(2) of the Civil Code). The giving of that information and the Consumer's choice are recorded in the complaint protocol.

4. Remedies. The Consumer may claim, at their choice, repair or replacement of the goods, unless the chosen remedy is impossible or would cause the Seller disproportionate costs; where the Seller refuses the chosen remedy on that ground, it informs the Consumer in writing of the reason and carries out the other remedy. If the Seller fails to remedy the defect within a reasonable time or without significant inconvenience to the Consumer, if the defect reappears, or if the defect is serious, the Consumer may claim a proportionate price reduction or withdraw from the contract; there is no right to withdraw where the defect is minor. Statutory consumer rights are not limited by these Terms.

5. Extension of the liability period after repair. Where a defect in goods sold to a Consumer is removed by repair, the period of liability for defects is extended by twelve (12) months (§ 619(4) of the Civil Code). The extension applies once, irrespective of the number of subsequent repairs, extends to the goods as a whole, and is added to the remaining part of the original period. The Seller states the resulting end date in the document confirming settlement of the complaint.

6. Refurbished replacement and temporary replacement device. A defect is remedied by replacement with new goods; replacement with refurbished goods is possible only at the buyer's request (§ 623(5) of the Civil Code). For the duration of a repair the Seller may lend the buyer a temporary replacement device free of charge, subject to availability and to a loan confirmation (§ 623(6) of the Civil Code); the loaned device remains the property of the Seller and is returned within ten (10) days of delivery of the repaired or replaced goods.

7. Complaint mechanics. Complaints (reklamácie) may be submitted by e-mail to reklamacie@gospace.tech, in writing to the address in § 1(2), or through the customer account, describing the defect and enclosing proof of purchase and the serial number of the device. The complaint is deemed made on the day the Seller receives the Consumer's notification, and the thirty-day period runs from that day. The Seller issues a written confirmation of the complaint without undue delay, decides on the complaint without undue delay and settles it at the latest within thirty (30) days of the day it was made, in accordance with Act No. 108/2024 Coll.; if the Seller fails to do so, the Consumer may withdraw from the contract or demand replacement of the goods. With the Consumer's consent the Seller may carry out remote diagnostics on the device's telemetry and diagnostic records before requesting return of the goods. The Seller informs the Consumer of the outcome in writing, stating the date the complaint was made, the date and manner of its settlement, the reasons for any rejection and, where repair was carried out, the extended end date of the liability period.

8. Costs. Where a Consumer's complaint is justified, the Seller bears the costs of remedying the defect, including the reasonable and documented costs of returning the goods to the Seller and of dispatching the repaired or replacement goods. The Consumer is asked to contact the Seller before shipping so that the most suitable and economical return route, including customs formalities for non-EU returns, can be arranged. Where a complaint is unjustified, the buyer bears the cost of returning the goods; a diagnostic fee may be charged only where its amount, or the method of its calculation, was communicated in advance and agreed.

9. Transport damage and incomplete delivery. The Customer is asked to check the delivery promptly for completeness and transport damage. The procedure for reporting transport damage, a wrong item or an incomplete delivery, and the allocation of the resulting costs, is set out in § 5 of the Returns and Complaints Policy. Failure to report does not affect a Consumer's statutory rights in respect of a defect existing at the time of delivery.

10. Business Customers. (a) Only the Seller's own specifications and the manufacturer's product descriptions constitute the agreed quality of the goods; public statements, advertising and battery-life or connectivity estimates do not; (b) the Business Customer must inspect the goods immediately upon receipt and notify apparent defects in writing within eight (8) working days, otherwise the goods are deemed approved; hidden defects must be notified within the same period after discovery (Sections 427 and 428 of the Slovak Commercial Code); (c) in the event of a defect, the Seller shall, at its choice, repair the goods or deliver replacement goods; if rectification fails after two attempts, the Business Customer may reduce the price or withdraw from the contract; (d) claims for defects of Business Customers expire twelve (12) months after delivery, unless a longer period is agreed in the quotation or a framework agreement. Paragraphs 3, 5 and 6 of this § 10 apply to Consumers only.

11. What is not a defect. The following are not defects: normal wear and tear and the consumption of wear parts and consumables (in particular batteries, seals, desiccants and protective covers); damage caused by installation, mounting or commissioning contrary to the manual; improper use or operation outside the specified environmental conditions, including exceeding the measuring range or the ingress-protection rating; lightning, overvoltage, static discharge, vandalism, animal or insect damage, theft and force majeure; soiling, biofouling, sedimentation, scaling or icing of the sensor, and readings distorted by an obstruction in the measuring path; unauthorised modification, unauthorised repair or opening of a sealed housing, and firmware not approved by the Seller; and interruptions of third-party mobile or LPWAN networks or of the Customer's own infrastructure. Examples and the applicable maintenance obligations are set out in §§ 6.2 and 10 of the Returns and Complaints Policy.

12. Commercial guarantee. Where the Seller or a manufacturer gives a commercial guarantee in addition to statutory liability, the Consumer receives a guarantee statement on a durable medium at the latest on delivery, stating the content and duration of the guarantee, its territorial scope, the name and address of the guarantor, how to claim under it, and that it does not affect the Consumer's statutory rights. A commercial guarantee binds the Seller on the terms of the guarantee statement and, where more favourable to the Consumer, on the terms of the related advertising.

13. Spare parts and paid repair. The Seller keeps spare parts and the information and tools needed for repair available for at least seven (7) years from the day the product model is last placed on the market and supplies them on reasonable commercial terms, including to independent repairers. Paid repairs outside statutory liability, and the European repair information form under § 13a of Act No. 108/2024 Coll., are governed by § 7 of the Returns and Complaints Policy.

§ 11 Liability

1. The Seller is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, limb or health, under mandatory product liability law, and to the extent of any guarantee expressly assumed.

2. Towards Business Customers, in cases of simple negligence the Seller is liable only for breach of essential contractual obligations and only up to the amount of the foreseeable damage typical for this type of contract; in all other cases liability of the Seller towards Business Customers for simple negligence, for indirect and consequential damage, and for loss of profit or loss of data is excluded. Mandatory statutory liability remains unaffected.

3. The goods are monitoring and measuring devices. Unless expressly agreed in writing, they are not designed or warranted for use as the sole safeguard in safety-critical applications (e.g. protection of life, health or critical infrastructure), and any alerting or measuring function does not replace official warning systems or the Customer's own safety measures.

§ 12 Force Majeure

1. Neither party is liable for a failure to perform (other than payment obligations) caused by circumstances beyond its reasonable control, such as natural disasters, war, embargoes, governmental measures, epidemics, general failures of transport, energy or communication networks, or shortages of components not attributable to that party. Agreed deadlines are extended by the duration of the impediment.

2. Each party shall notify the other of the impediment without undue delay. If the impediment lasts longer than two (2) months, either party may withdraw from the affected contract; consideration already provided will be returned. Statutory rights of Consumers remain unaffected.

§ 13 Alternative Dispute Resolution; Supervisory Authority

1. A Consumer who is dissatisfied with the manner in which the Seller settled a complaint, or who believes the Seller has infringed their rights, may ask the Seller for redress under Act No. 108/2024 Coll. If the Seller rejects the request or fails to respond within 30 days, the Consumer may submit a proposal for alternative dispute resolution under Act No. 391/2015 Coll. on the alternative resolution of consumer disputes, as amended. The competent entity is the Slovak Trade Inspection, Central Inspectorate, Department for International Relations and Alternative Dispute Resolution, Bajkalská 21/A, p. o. box 29, 827 99 Bratislava 27, www.soi.sk, or another authorised entity on the list maintained by the Ministry of Economy of the Slovak Republic. Alternative dispute resolution is free of charge or subject to a nominal fee, and participation does not affect the Consumer's right to bring proceedings before a court.

2. A Consumer resident in another EU Member State may also use the alternative dispute resolution body or consumer protection authority of their country of residence, and the European Consumer Centre network.

3. The European Online Dispute Resolution (ODR) platform was discontinued by the European Union with effect from 20 July 2025 and is therefore no longer available.

4. The supervisory authority for consumer protection is the Slovak Trade Inspection (SOI), Inspectorate for the Bratislava Region, Bajkalská 21/A, p. o. box 5, 820 07 Bratislava, Slovak Republic. The supervisory authority for personal data protection is the Office for Personal Data Protection of the Slovak Republic, Hraničná 12, 820 07 Bratislava.

§ 14 Data Protection

1. The Seller processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 18/2018 Coll. on Personal Data Protection. Details, including the data contained in a return or complaint file and the periods for which it is kept, are set out in the separate Privacy and Cookie Policy available in the Shop.

§ 15 Choice of Law, Place of Fulfilment, Jurisdiction, Final Provisions

1. These Terms and all contracts concluded under them are governed by the law of the Slovak Republic, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

2. For Consumers, this choice of law does not deprive the Consumer of the protection afforded by mandatory provisions of the law of the country of their habitual residence (Art. 6(2) of Regulation (EC) No 593/2008, Rome I).

3. For Business Customers, public-law entities and Customers without a general place of jurisdiction in the EU, the place of fulfilment and the exclusive place of jurisdiction is the court competent for the Seller's registered seat in Bratislava, Slovak Republic. The Seller may also sue the Business Customer at its general place of jurisdiction.

4. These Terms may be published in several language versions. In the event of any discrepancy between language versions, the English version prevails for Business Customers; for Consumers, the version in the language in which the contract was concluded applies. A Slovak version is published for Slovak Consumers and prevails for them.

5. Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected.

6. The Seller may amend these Terms for the future with effect for continuing (subscription) obligations; the Seller will notify the Customer of amendments in text form at least one month in advance, and the Customer may terminate the affected contract before the amendments take effect. Amendments never reduce the rights of a Consumer under a contract already concluded. Superseded versions remain available at [archive URL].
